1. Agreement to Terms
By accessing or using Medentura's platform, website, and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a business or clinic, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use our Services.
2. Description of Services
Medentura provides an AI-powered marketing and automation platform for medical aesthetic clinics, including:
- WhatsApp AI Receptionist for automated patient engagement
- Facebook Ads automation and optimization
- Customer Relationship Management (CRM) system
- Payment gateway integrations
- Analytics and reporting dashboards
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- You must be at least 18 years old to create an account.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of Malaysian law
- Send spam, unsolicited messages, or violate anti-spam regulations
- Make false or misleading medical claims through our AI or marketing tools
- Violate Malaysian medical advertising regulations (KKM guidelines)
- Attempt to reverse-engineer, decompile, or access the source code of our platform
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to process data in violation of PDPA or other data protection laws
- Share your account credentials with unauthorized third parties
5. Patient Data & Responsibilities
5.1 Clinic Responsibilities
As a clinic using our platform, you are the data controller for patient information. You are responsible for:
- Obtaining proper consent from patients before collecting and processing their data
- Ensuring your use of our AI features complies with applicable healthcare regulations
- Maintaining accurate patient records
- Responding to patient data access or deletion requests
5.2 Medentura's Role
We act as a data processor on your behalf. We will process patient data only as instructed by you and in accordance with our Data Processing Agreement and Privacy Policy.
6. AI Services Disclaimer
Our AI-powered features (including the WhatsApp AI Receptionist) are designed to assist with patient engagement and scheduling. They are not a substitute for professional medical advice, diagnosis, or treatment.
- The AI does not provide medical diagnoses or treatment recommendations
- Clinics are responsible for reviewing and approving AI-generated content and responses
- We continuously improve our AI but cannot guarantee 100% accuracy in all interactions
- You should configure the AI's responses to align with your clinic's protocols and Malaysian regulations
7. Payment Terms
- Subscription fees are billed monthly or annually as selected during signup.
- All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
- Payment is due at the beginning of each billing cycle.
- We reserve the right to change pricing with 30 days' written notice.
- Refunds are handled on a case-by-case basis. Contact us within 14 days of billing for disputes.
- Transaction fees for payment gateway usage (FPX, GrabPay, BNPL) are passed through at cost.
8. Intellectual Property
All content, features, and functionality of the Services — including software, text, graphics, logos, and AI models — are owned by Medentura and protected by intellectual property laws.
You retain ownership of your data (clinic information, patient records, marketing content). By using our Services, you grant us a limited license to process this data solely to provide the Services.
9. Service Availability & SLA
- We target 99.9% uptime for our core Services.
- Scheduled maintenance will be communicated at least 24 hours in advance.
- We are not liable for downtime caused by third-party services (WhatsApp, Meta, payment providers).
- In the event of extended outages, service credits may be issued at our discretion.
10. Limitation of Liability
To the maximum extent permitted by law, Medentura shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Services.
Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid to us in the 12 months preceding the claim.
11. Termination
- You may cancel your subscription at any time through your account settings or by contacting us.
- We may suspend or terminate your access if you violate these Terms.
- Upon termination, your data will be retained for 30 days for export, then deleted within 90 days.
- Sections regarding intellectual property, limitation of liability, and governing law survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 14 days before taking effect. Continued use of the Services after changes constitutes acceptance.
